Omni AI – Terms & Conditions

• Account — A user account created to access Omni AI.
• Input — Any data, prompt, file, text, or content you submit to Omni AI.
• Output — Any content generated by Omni AI or its underlying third-party LLM providers in response to your Input.
• User Content — All Input, Output, files, communications, or data linked to your Account.
• Underlying Model Providers — Third-party large language models (LLMs), APIs, and AI services used by Omni AI to process Inputs.
• You / User — Any individual or entity using the Services.

Subject to compliance with these Terms, Omni AI grants you a limited, non-exclusive, revocable, non-transferable licence to use the Services for personal or internal business use.

You agree not to:

• Resell, sublicense, or commercially exploit the Services without written consent.
• Attempt to reverse engineer, bypass, or modify any part of the Services.
• Use the Services for competing commercial products (model routing, AI UX layers, agent frameworks, etc.) unless authorised.

5.1 Ownership

You retain all rights to your Input. You also hold rights to any Output produced, subject to:

• Non-exclusivity
• Potential similarity of Output generated for other users
• intellectual property laws in your jurisdiction
• , and restrictions imposed by Underlying Model Providers.

5.2 Licence You Grant to Omni AI

You grant Omni AI, and its Underlying Model Providers, a worldwide, royalty-free, sublicensable licence to:

• Use, process, transmit, store, and display your Input and Output.
• Improve and operate the Services.
• Comply with legal or regulatory requirements.

5.3 Responsibility

• Ensuring your Input does not violate laws or third-party rights.
• Ensuring you have lawful rights to submit data (including personal or confidential data).
• Reviewing, validating, and safely using any Output.

You agree not to use Omni AI for:

• Illegal or unlawful activities.
• Violence, extremism, terrorism, hate speech, or harassment.
• Child sexual abuse material (CSAM).
• Disallowed content under any Underlying Model Provider’s policies.
• Generating malware, ransomware, or harmful code.
• Infringement of intellectual property rights.
• Automated scraping, mass harvesting, or system overload.
• Circumventing filters, guardrails, or safety mechanisms.

Omni AI may immediately suspend or terminate accounts violating these rules.

Omni AI is used by a global community. To ensure stable, equitable access:

7.1 Usage Limits — You agree not to:

• Generate excessive automated traffic.
• Run batch pipelines, scraping engines, or industrial-scale workloads unless on an enterprise plan.
• Circumvent rate limits or usage caps.
• Abuse free trials, temporary access, or promotions.

7.2 System Protection — Omni AI may:

• Throttle or limit requests.
• Enforce model/usage caps.
• Require a plan upgrade.
• Suspend or terminate accounts that exceed reasonable usage.

Determination of “excessive” or “abusive” usage is at Omni AI’s sole discretion.

Omni AI connects to a broad ecosystem of third-party large language models (LLMs), each governed by its own safety policies, technical constraints, and risk considerations.

8.1 No Control Over Underlying Models

• Omni AI does not control the behaviour, training data, biases, or accuracy of the Underlying Model Providers.
• Outputs may be incorrect, unsafe, offensive, biased, or harmful.

8.2 No Professional Advice

• Outputs are not professional advice (financial, legal, medical, psychological, etc.).
• You must not rely solely on any Output without independent verification.

8.3 High-Risk Use Prohibited

• Life-critical decisions.
• Medical diagnosis or treatment.
• Legal or financial decision-making.
• Military or weapons systems.
• Any high-risk domain requiring certified professional oversight.

8.4 Responsibility for Compliance

You must comply with the policies of each Underlying Model Provider accessed via Omni AI.

Omni AI processes personal data in accordance with its Privacy Policy (separate document).

9.1 Data Handling

• Some Inputs may be transmitted to Underlying Model Providers outside the UK/EU.
• By using the Services, you consent to this international data transfer.
• Omni AI implements reasonable security measures but cannot guarantee absolute protection.

9.2 GDPR & UK GDPR

If you are a data controller: You represent and warrant that you have a lawful basis to process and transfer any personal data submitted to the Services.

9.3 Data Deletion

Upon request, Omni AI will delete your account data unless legally required to retain it. We cannot delete any account data that is transferred to third parties.

9.4 Subprocessors

You authorise Omni AI to use third-party AI model providers as subprocessors of your data.

Except for User Content, all software, designs, website elements, model routing systems, branding, trademarks, logos, and documentation are owned by or licensed to Omni AI.

You may not copy, modify, distribute, reverse-engineer, or create derivative works without written permission.

• Fees are billed according to your chosen plan.
• Subscription charges renew automatically unless cancelled.
• Omni offers a 30-day money-back guarantee on the base subscription product only. If you are dissatisfied, you may request a refund within 30 days of the initial purchase of the base subscription.

The following are not eligible for refunds:

• Add-ons, enhanced packages, premium features, or optional upgrades.
• One-time or recurring credit pack purchases.
• Usage-based fees, overages, or consumed credits.

All refund requests are subject to Omni AI’s review and discretion. Omni AI reserves the right to deny a refund where we reasonably believe that the Services have been abused, where fraudulent activity has occurred, or where these Terms have been violated.

Refunds, if approved, will be issued to the original payment method used at the time of purchase. This policy is subject to applicable law and does not affect any statutory consumer rights.

Omni AI may adjust pricing, with reasonable notice.

Omni AI may suspend or terminate your access:

• For violating these Terms.
• For abusive or excessive usage.
• For legal/regulatory reasons.
• At its discretion, with notice.

Upon termination:

• Your licence ends immediately.
• Access to the platform may cease.
• Outstanding fees remain payable.
• Some sections survive termination (IP, limitation of liability, indemnification, etc.).

The Services are provided “as is” and “as available”. Omni AI disclaims all warranties, express or implied, including:

• Accuracy.
• Reliability.
• Fitness for a particular purpose.
• Non-infringement.
• Continuous availability or performance.

Outputs may be unpredictable, incorrect, or harmful.

14.1 General Limitation

To the fullest extent permitted by applicable law, Omni AI, its affiliates, licensors, and service providers — and their respective officers, directors, employees, and agents — shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including, without limitation:

• Loss of profits or revenue.
• Loss of business opportunities.
• Loss or corruption of data.
• Business interruption.
• Loss of goodwill or reputation.

arising out of or relating to your use of the Services, any Outputs, or your reliance on any Underlying Model Provider. This applies even if Omni AI has been advised of the possibility of such damages.

14.2 Total Liability Cap

Omni AI’s total aggregated liability for all claims, whether in contract, tort, or otherwise, under these Terms shall not exceed the total amount you have paid to Omni AI during the 6-month period preceding the event giving rise to liability.

14.3 AI-Specific Disclaimer

• Omni AI routes requests to multiple third-party LLM providers, each with its own safety, operational, and risk profiles.
• Outputs may be inaccurate, unsafe, biased, or offensive.
• You are responsible for reviewing, validating, and safely using Outputs.

14.4 Survival

This Limitation of Liability section survives termination, expiration, or suspension of your access to the Services.

You agree to indemnify and hold harmless Omni AI, its directors, employees, contractors, and partners from all claims, losses, damages, or expenses arising from:

• Your User Content.
• Your misuse of the Services.
• Your violation of these Terms.
• Your violation of laws or third-party rights.

Omni AI may integrate with, but is not limited to:

• Third-party APIs.
• LLM providers.
• Plugins and extensions.
• Authentication services.

Omni AI is not responsible for their content, policies, reliability or availability. Your use of third-party services is governed by their terms and conditions.

You may not use Omni AI in:

• Sanctioned jurisdictions.
• Countries restricted by UK, US, or EU export laws.
• For prohibited end-uses or parties.

You represent that you are not on any government sanctions or restricted lists.

These Terms are governed by the laws of England & Wales.

Disputes shall be resolved exclusively in the courts of England & Wales.

We reserve the right to update these Terms at any time.

Changes take effect upon posting to the website. Continued use of the Services constitutes acceptance of the updated Terms.
